Working closely with US commercial sales teams, under the tutelage of more senior attorneys, this attorney will enjoy a fast paced environment, working on a wide variety of deals to advise business clients, solution engineers, product and service delivery teams as they collaborate on delivering a best-in-class portfolio of payments, compliance and AML products, services, software and solutions to a sophisticated clientele including many corporations, banks, e-payment companies and financial houses that populate the Fortune 500. Ultimately, providing the data and screening methodologies needed to create a secure and accurate financial system worldwide. Job Description:
Basic Job Functions:
We're seeking a diligent, proactive and engaging associate corporate counsel to work under the direction of a more senior lawyer and assist in providing transactional legal assistance to individuals and departments within the company. Responsibilities include contract negotiations, regulatory and compliance reviews, marketing reviews and international support. The successful candidate must be inquisitive, enthusiastic about technology, enjoy working hard and being continuously challenged and demonstrate sound judgment even in sometimes unclear business and legal situations. Accountabilities:
1. Able to support, draft or negotiate on a wide range of agreements:
master agreements; software (hosted, SaaS, installed); NDAs; amendments; renewals; assignments; statements of work; reseller; referral; service bureau; and privacy and security addenda. 2. Work with sales representatives, teams and management to pursue, win and expand commercial business relationships from RFP through the contract life cycle. 3. Capable of handling a fast moving and often busy daily schedule of deals, meetings, drafting, decisions and negotiations. 4. Either familiar with or prepared to learn about intellectual property and its licensing. 5. Review of sales, advertising and marketing materials and programs as part of the Legal team to ensure compliance with applicable regulations and legal requirements. 6. Respond to inquiries from internal clients. 7. Manage assigned projects to completion. 8. Assist more senior attorneys and management in higher level matters, as needed. 9. All other duties as assigned.
Qualifications:
1. J.D. degree from an accredited law school required. 2. Licensed to practice law in the state of Illinois or other US jurisdiction. 3. 2
years of relevant experience in a law firm or corporate legal department. 4. Excellent verbal and written communication skills. 5. Experience in handling regulatory matters or practicing law in the insurance industry experience is a plus. 6. Excellent analytical and research skills required. 7. Proficiency in Spanish or Portuguese a plus.
Salary Range:
$80K -- $100K
Minimum Qualification
Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.
